1. Acceptance of Terms
By accessing or using Rhythoria Flux (the “Platform”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Platform. These Terms form a legally binding agreement between you and Rhythoria Flux. You understand that the Platform provides online tools that may include campaign planning, performance dashboards, segmentation, and communications workflows intended to support artists and their teams.
You also agree that your use of certain features may be subject to additional guidelines displayed within the Platform, including usage limits, message compliance settings, and feature-specific requirements. Those guidelines are incorporated into these Terms by reference.
2. Eligibility
You must be able to form a binding contract to use the Platform. If you use the Platform on behalf of an organization, label, or management company, you represent that you have authority to bind that entity to these Terms. You are responsible for ensuring that your use complies with applicable laws, regulations, and platform policies relevant to your location.
The Platform is intended for professional and business-related use by artists, creators, and their authorized collaborators. We may refuse service, suspend access, or restrict features if eligibility requirements are not met.
3. Accounts, Security, and Access
To access certain features, you may need an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. If you suspect unauthorized access, you must notify us promptly and take reasonable steps to secure your account.
You may create roles for team members where available. You are responsible for determining appropriate permissions and ensuring that collaborators use the Platform in compliance with these Terms. We may implement security controls, rate limits, and audits to protect the Platform and other users.
4. Services and Platform Rules
The Platform may include tools for release promotion, streaming analytics, fanbase management, and communication workflows. Feature availability may change over time and may vary by plan. We may add, remove, or modify features, dashboards, or reports to improve performance, reliability, or compliance.
You agree not to misuse the Platform, interfere with its operation, or attempt to access areas you are not authorized to use. You agree to follow reasonable instructions and safeguards provided in-product, including restrictions on messaging frequency, opt-in requirements, and data import standards.
5. Artist Content and Data You Provide
“Artist Content” includes materials you upload or submit to the Platform such as copy, artwork, campaign assets, audience lists, segmentation tags, and any other information you provide. You retain ownership of your Artist Content. You grant Rhythoria Flux a limited, non-exclusive right to host, process, and display your Artist Content solely to provide the Platform to you and your authorized users.
You represent and warrant that you have the necessary rights to use and share Artist Content and that it does not violate third-party rights, including copyrights, trademarks, or privacy rights. You are responsible for the accuracy, legality, and appropriateness of all Artist Content and any instructions you configure within campaigns and automations.
6. Email/SMS and Fan Communications
Communication tools can be powerful and must be used responsibly. You agree to send messages only to recipients who have provided valid consent where required, and you agree to honor opt-out requests promptly. You are responsible for compliance with applicable marketing, privacy, and anti-spam laws and carrier requirements that govern email and SMS messaging.
You agree not to send deceptive, abusive, or excessively frequent messages. You also agree not to use the Platform for unsolicited outreach or for list harvesting. We may apply throttling, compliance checks, or message filtering to protect recipients, maintain deliverability, and meet industry standards.
7. Billing, Payments, and Plan Terms
If you purchase a paid plan, you agree to pay the fees shown at checkout or within your plan settings. Fees may include recurring subscription charges and usage-based charges depending on the plan. Unless otherwise stated, fees are billed in advance and are non-refundable except as described in our Refund Policy.
You authorize us to charge your selected payment method. You are responsible for any taxes or duties that may apply. If payment fails, we may suspend or limit your access until payment is resolved. Plan features, limits, and pricing may change upon notice in accordance with the “Changes” section below.
8. Prohibited Uses
You agree not to, and not to help others to:
- Use the Platform to violate laws, regulations, or third-party rights.
- Send spam, deceptive messages, or content that is harassing, hateful, or exploitative.
- Upload malware, attempt to scrape the Platform, or reverse engineer protected components.
- Access data that is not intended for you or bypass authentication and security controls.
- Misrepresent metrics, impersonate others, or present misleading campaign outcomes.
- Interfere with service stability or attempt to overload systems or endpoints.
We may investigate suspected violations and take action including removing content, limiting features, suspending accounts, or terminating access.
9. Intellectual Property
The Platform, including its software, design, text, graphics, and other elements, is owned by Rhythoria Flux or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are granted by implication. You may not copy, modify, distribute, sell, lease, or create derivative works from the Platform.
10. Disclaimers
The Platform is provided on an “as is” and “as available” basis. While we aim to provide accurate analytics and reliable tools, we do not guarantee that data will always be complete, error-free, or available in real time. Third-party platforms, carriers, and distribution networks may affect availability, latency, reporting, and deliverability.
You acknowledge that campaign performance depends on many factors beyond our control, including audience behavior, third-party algorithms, creative quality, market conditions, and external platform policies.
11. Limitation of Liability
To the maximum extent permitted by law, Rhythoria Flux shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages. Our total liability for any claims relating to the Platform will not exceed the amounts paid by you to Rhythoria Flux for the Platform in the 3 months preceding the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Rhythoria Flux from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your Artist Content, your campaigns, your communications, or your violation of these Terms.
13. Termination
You may stop using the Platform at any time. We may suspend or terminate access if we reasonably believe you have violated these Terms, pose a risk to recipients or third parties, or if required by law. Upon termination, your right to use the Platform ends. Certain sections, including intellectual property, disclaimers, limitation of liability, and indemnification, survive termination.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Platform, legal requirements, or operational practices. If changes are material, we will provide reasonable notice by posting the updated Terms on this page or within the Platform. Continued use after the effective date constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by applicable laws of the jurisdiction in which Rhythoria Flux operates, without regard to conflict of law principles. Where required, disputes will be resolved in the appropriate courts of competent jurisdiction.
